相殺を英語で言うと
「相殺って何て言うんですか」とか「こちらが持っている５００万円の債権で、御社に対して支払う１００万円の債務を相殺する、あるいは相殺権を行使する」と言いたい場合、英語ではどう言うのかと聞かれることがありますので、きょうは、相殺の英語での言い方を取りあげます。英語での相殺は、一般に名詞が set off で、動詞だと to set off ですが、他に、offset が名詞として、また、動詞として使われます。
相殺がどういうものであるかを確認しておきますと、有斐閣の法律学小事典によると、「２人の者が互いに相手に対して同種の債権を持っている場合に、一方から相手方に対する意思表示によってその債務を対当額で消滅させること」です。我が国の場合、民法第505条にその定めが置かれています。
A Handbook of Business Law Terms (West Group)で set offを見ると、A debtor's right to reduce the amount of debt by any sum the creditor owes the debtor.（債務者が、その債務額につき、当該債権者が自分に対して負っている債務の限度でこれを減額する権利）となっています。
★ 契約書で見る相殺の定め
契約書でも当然、相殺の定めを見ますが、だいたい、こんな感じです。三つ、例を挙げます。
最初の例は、自動車メーカーと販売代理店との間の契約書で、代理店がメーカーに払渡すべきものがあるときは、その分を代理店へのコミッションから差っ引くとする規定です。
If any sums are due to the Company from the Agent, the Company shall be entitled to exercise the right to set off such sums against any Commission due to the Agent in relation to this Agreement.（本件代理店より当社に支払うべきものがある場合、当社は、本契約に関して本件代理店に支払うべき本件手数料とこれを相殺する権利を行使することができる）
次は投資顧問とそのお客さんとの間の契約ですが、amount standing to the credit of an account（取引口座上、入金されている金額）というややこしい表現が使われているものの、要は受取額のことであり、ここでも、客の方に借りがある場合は、その分で棒引きするよという趣旨の規定になっています。
The Advisor may set off any amount standing to the credit of any such Accounts in or towards satisfaction of any of the Client's Liabilities to the Advisor.（本件投資顧問は、本件取引口座上、入金されている金額をもって、本件投資顧問に対して本件顧客が負っている債務額の弁済に充当することができる）
このほか、金融取引でしばしば登場する「差金決済」の定めでも、同様にset offが登場します。
Netting: The amounts due from one party shall be set off against the amounts due from the other and only the balance of account shall be payable by the party having the claim valued at the lower amount.（差額決済：一方当事者が支払義務を負っている金額は、相手方のそれと相殺されるべきものとし、この場合において支払額が受取額を超過する当事者の方から決済尻が支払われるものとする）
★ to set off/ offsetの使いかた
これまで集めてきた相殺関係の用例を整理すると、以下のとおり、四つのパターンがあります。最初の二つが動詞 offsetを使うパターン、残り二つが主流と言える、set off を使うパターンです。
１） to offset 自分の支払額 against 自分の受取額、というパターン
XYZ shall be entitled to offset any sum or sums owing by it to the Buyer against any sums owed by the buyer to XYZ.
Should termination occur as a result of Contractor's default, XYZ shall be entitled to damages from Contractor resulting from Contractor's default, XYZ shall be entitled to offset any amounts payable to Contractor for work satisfactorily completed against such damages.
２） to offset 自分の受取額 against 自分の支払額、というパターン
The Company is entitled to offset any amount owing to it from the Customer against any amount owed to the Customer by the Company.
We shall be entitled to offset any receivables owed to us by the contract partner against any receivables owed to the contract partner by us.
３） to set off 自分の支払額 against 自分の受取額、というパターン
XYZ may set off the amount of such liability against any sums that would otherwise be due to XYZ under this agreement.
We have the right to set off any of your money or property which may be in our possession against any amount owed to us under this Agreement.
４） to set off 自分の受取額 against 自分の支払額、というパターン
The Association shall be entitled to set off any amount due from the member against any amount due to the member.
The Company shall have the right to set off any debt(s) a Representative owes to the Company against his bonuses and/or commissions.
Upon termination of this Agreement we shall have the right to set off any amounts due from you against the Deposit.
The Bank may decide to exercise the right to set off any legitimate right or lien for any other claim against the borrower.
Company shall have the right to set off any sum due to Company from customer against any sum due or to become due to customer from Company
We also reserve the right to set off any debt you may owe us against any funds you may have on deposit with us.
Buyer has the right to setoff a claim of $10,230 under the invoice of December 20, 1999, against Seller's claim for payment of the purchase price.
以上を通じて、誰が誰に対して債務を負っているのか、あるいは債権を有しているのかを表す上で、due to と due fromが、また、owing to X from Y やら owed to X by Y といった言い方が使われていることに着目し、こうした用法に慣れておくと、翻訳の際、楽です。逆にこうした定型的言い回しを知らないで、何やら勝手なものを作り出すと、一気に素人っぽいというか、うそくさい訳文になってしまいます。
★ set off 対 offset
こうして見てくると、
to set off/offset X against Y
が基本パターンであり、通常、Xのところに自分の受取額を持ってくるのが一般的だと言えます。実際、大手法律事務所の作成した契約書ですと、なぜか、このパターンにそくしているような気がします。
ところで、set off と offset の両方が同じような感じで使われており、いったいどっちがどうなんだと長年、思っていたのですが、何年か前に、有名なBlack's Law Dictionaryのエディターでもある Bryan A. Garner の A Dictionary of Modern English Usageを買って来たら、答えがあり、そうだったのかと、ひどくうれしかったのをおぼえています。この本によると、由緒の正しさということでは、set offの方に軍配がということでした。
ちょっと意外に思ったのは、普通、英語の動詞の世界では、同じ意味を表しているのに、set offのような句動詞と offsetのような単一の動詞がある場合は、句動詞の方がインフォーマルだとされるのが普通なのに、ここではそういった区別がない点です。
いずれにしろ、名詞のoffsetは、いわば後発組である上、The Oxford Companion to the Lawでも扱われていないことに示されるとおり、アメリカ産の言葉という説明でした。ですから、法律用語としては、to set off の方が無難と言えそうです。
この点、動詞の offset につき、 Garnerは、"is generally inferior to set off, although it cannot be rightly be condemned as an error"（一般的に set off の方が好ましいが、間違いだと言い切れるほどでもない）、と説いているのですが、何だか、ひどい扱いを受けているようで、offsetという動詞が気の毒になってしまいます。

仕事柄・主人(カナダ国籍）の仕事のサポートをしてますと、これってどう表現すれば伝わるのかというのが参考になります。今後も楽しみにしてますのでガンバッテ下さい。

励ましてくださり、ありがとうございます。頑張ります。日本語を英語にするような場合、英語がよくわかっておらず、一対一の対応関係で考える人は、直訳に走って、結局、通じないで終わりますが、逆に英語を使える人の方が、「これってどう表現すれば伝わるのか」で悩むものですよね。
